Terms of Service

1. Engagement & Client–Agency Relationship

These Terms of Service govern the relationship between Pixel Next LLC ("Pixel Next," "we," "us") and the client ("you") for web design, web development, and e-commerce services. No agency, partnership, or employment relationship is created. Each engagement is further defined by a signed Statement of Work (SOW) or proposal.

2. Payment Terms

  • Upfront Deposit: A deposit of up to fifty percent (50%) of the total project fee is due before work begins, unless otherwise specified in the SOW.
  • Milestone Payments: Projects are billed in milestones. Each milestone invoice is due within seven (7) business days of issuance unless otherwise agreed.
  • Late Payment: Invoices unpaid after fifteen (15) days incur a late fee of 1.5% per month or the maximum permitted by law.
  • Third-Party Costs: Hosting, domains, plugins, stock assets, and similar third-party costs are billed at cost and are non-refundable.

3. Intellectual Property (IP) Ownership

  • Pixel Next LLC retains ownership of all deliverables, source code, design files, and assets until full payment of all outstanding invoices has been received.
  • Upon receipt of full payment, ownership of the final, delivered deliverables transfers to the client.
  • Pixel Next LLC retains the right to display completed work in its portfolio and marketing materials unless a written non-disclosure agreement is in place.
  • Pre-existing tools, frameworks, libraries, and Pixel Next's internal utilities remain the property of Pixel Next LLC and are licensed, not transferred.

4. Client Responsibilities

The client agrees to provide timely feedback, content, access, and approvals. Delays caused by the client may extend timelines and incur additional fees at Pixel Next's standard rate.

5. Limitation of Liability

Pixel Next LLC's total liability under any engagement is limited to the total fees paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

6. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
